Terms of Service

These Terms explain the rules for using Nfluence and the responsibilities of brands, creators and other visitors to the platform. Please read them carefully before creating an account or using our services.
1. About Nfluence
Nfluence is a marketplace and software platform that helps brands discover and work with creators, including influencers and user-generated content creators. Nfluence provides tools for profiles, listings, campaign discussions, bookings, content and payments.
Nfluence is a facilitator. Unless we expressly say otherwise in a written agreement, Nfluence is not a party to the agreement between a brand and a creator, does not employ creators, and does not guarantee the outcome, quality, availability or legality of a collaboration.
2. Accepting these terms
These Terms of Service ("Terms") form a legally binding agreement between you and Nfluence when you access or use the platform. If you use Nfluence for a business, you confirm that you have authority to bind that business.
You must be at least 18 years old, or have the permission of a parent or legal guardian where permitted by law. By creating an account, you confirm that the information you provide is accurate and that you will keep it up to date.
3. Accounts and security
You are responsible for your account credentials, activity carried out through your account, and the devices and connections used to access Nfluence. Do not share passwords, tokens or access links. Tell us promptly if you suspect unauthorised access.
We may verify account details, request additional information, or restrict access where reasonably necessary to protect users, the platform or the integrity of a campaign.
4. Using the marketplace
Brands and creators are responsible for reviewing one another and deciding whether a collaboration is suitable. Any campaign brief, booking, statement of work, usage licence, deadline, fee, revision allowance or other project term agreed between them should be recorded clearly in the platform or in a written agreement.
Nfluence does not verify a user's qualifications, audience metrics, identity, tax status, work rights, product claims or legal compliance unless expressly stated. Do not rely on a profile, badge, metric or recommendation as a guarantee.
You must not take a transaction off-platform to avoid fees, bypass a booking, or defeat a safety, payment or dispute process. We may suspend accounts or cancel activity where we reasonably believe this has occurred.
5. Campaigns, content and advertising compliance
You are responsible for ensuring that campaigns and content comply with all applicable laws and platform rules, including New Zealand consumer, privacy, intellectual property and advertising laws. This includes making required disclosures for sponsored content and ensuring that claims about products or services are accurate and substantiated.
Campaigns must not promote unlawful, deceptive, discriminatory, abusive or dangerous activity. We may remove campaigns, listings, messages or content that breach these Terms or create a risk to users or Nfluence.
6. Fees, payments and taxes
Fees, commissions and payment timing will be shown before you commit to a transaction. Unless stated otherwise, amounts are in New Zealand dollars and applicable taxes may be added.
Where Nfluence or a payment provider holds funds pending completion, release, refund and dispute handling will follow the applicable booking terms and payment-provider rules. Nfluence may delay or withhold a payment where required to investigate fraud, chargebacks, sanctions, law enforcement requests or a material breach of these Terms.
You are responsible for your own tax, GST, invoicing, insurance, employment, contractor and business obligations. Nfluence does not provide tax, legal or financial advice.
7. Intellectual property and usage rights
You retain ownership of content you upload unless you agree otherwise in a campaign or booking. A brand receives only the usage rights expressly granted in the relevant agreement. If no usage terms are recorded, no transfer or licence should be assumed beyond what is necessary to review the content and complete the agreed transaction.
By uploading content, you confirm that you have the rights and permissions needed to upload it and grant Nfluence a non-exclusive, worldwide, royalty-free licence to host, reproduce, display and technically modify it as necessary to operate, improve and promote the platform. This licence continues for as long as reasonably required for those purposes, subject to our Privacy Policy and your rights under applicable law.
You must not upload content that infringes another person's copyright, trade mark, privacy, publicity or other rights. We may remove allegedly infringing material and may terminate repeat infringers.
8. User conduct
You must not:
- misrepresent your identity, business, audience, results or authority;
- harass, threaten, abuse, stalk or discriminate against another user;
- upload malware, unsolicited promotions or unlawful material;
- scrape, reverse engineer, probe or disrupt the platform;
- attempt to access another user's account or private information;
- manipulate reviews, metrics, referrals, bookings or payment outcomes; or
- use Nfluence for unlawful, fraudulent or harmful purposes.
9. Disputes and support
If a collaboration problem arises, first communicate through the relevant campaign or booking workspace and keep evidence of the issue. Contact us through the Contact Us form if you need support.
Where Nfluence administers a payment or platform dispute process, we may review briefs, messages, submitted work, timestamps and other relevant information. Our decision about a platform-administered process is final within the platform, without limiting any rights you cannot lawfully contract out of.
10. Privacy and third-party services
Our Privacy Policy explains how we collect, use, store and disclose personal information. By using Nfluence, you acknowledge that the platform may rely on third-party services such as hosting, analytics, identity, social networks and payment providers. Those services may have their own terms and privacy policies.
You are responsible for ensuring that information you provide about another person is collected and shared lawfully.
11. Availability and disclaimers
We aim to keep Nfluence available and secure, but the platform is provided on an "as is" and "as available" basis. We do not promise that it will be uninterrupted, error-free, completely secure, or suitable for every purpose.
To the maximum extent permitted by law, we disclaim warranties not expressly included in these Terms, including warranties about user conduct, creator performance, campaign results, content accuracy, merchantability and fitness for a particular purpose.
12. Liability
To the maximum extent permitted by law, Nfluence is not liable for indirect, incidental, special, consequential or exemplary loss, or for lost profits, revenue, data, goodwill or business opportunity arising from your use of the platform or a collaboration.
Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded under the New Zealand Consumer Guarantees Act 1993, Fair Trading Act 1986 or other applicable law. Where our liability may lawfully be limited, our total liability for claims connected with the platform will be limited to the greater of the fees you paid to Nfluence in the three months before the event giving rise to the claim and NZ$100.
13. Suspension and termination
You may stop using Nfluence at any time. We may suspend or terminate an account, remove content, cancel access or refuse a transaction if we reasonably believe you breached these Terms, created risk, acted unlawfully, or if doing so is necessary to protect the platform or another person.
Termination does not cancel obligations that by their nature should continue, including payment obligations, intellectual property licences, confidentiality, dispute provisions and liability limits. We may retain information where required for legal, security, accounting or dispute purposes.
14. Changes to these Terms
We may update these Terms when the platform, law or our practices change. We will publish the updated version and change the effective date. If a change is material, we will take reasonable steps to notify you. Continuing to use Nfluence after the effective date means you accept the updated Terms.
15. General terms
These Terms, together with any applicable booking terms and policies linked from Nfluence, are the entire agreement about your use of the platform. If part of these Terms is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations without our written consent; we may transfer this agreement as part of a restructure, sale or transfer of the platform.
New Zealand law applies to these Terms. The courts of New Zealand have non-exclusive jurisdiction, subject to any mandatory rights you have under applicable consumer law.
